UPPER EDGE FITNESS APP – TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of the Upper Edge Fitness App (“App”), which is owned, operated, distributed, and maintained by Upper Edge Fitness Inc. (“Company,” “we,” “us,” or “our”).

By accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of the App immediately.

1. Eligibility

You must comply with all applicable laws and regulations while using the App. By using the App, you represent that all information you provide is accurate and truthful.

2. Health and Medical Disclaimer

THE APP IS PROVIDED FOR INFORMATIONAL, EDUCATIONAL, RECREATIONAL, AND ENTERTAINMENT PURPOSES ONLY.

Upper Edge Fitness Inc., its shareholders, directors, officers, employees, contractors, developers, affiliates, partners, licensors, successors, assigns, agents, representatives, and related parties are not physicians, medical professionals, dietitians, healthcare providers, or licensed medical practitioners.

Nothing contained within the App constitutes medical advice, healthcare advice, nutritional advice, diagnosis, treatment recommendations, or professional healthcare services.

You should always consult a qualified physician or healthcare provider before beginning, modifying, or discontinuing any exercise program, nutrition program, fitness routine, or health-related activity.

Do not disregard professional medical advice or delay seeking medical attention because of information provided through the App.

Your use of the App and participation in any physical activity is entirely voluntary and at your own risk.

3. Assumption of Risk

Physical activity involves inherent risks, including but not limited to injury, illness, disability, property damage, or death.

By using the App, you acknowledge and voluntarily assume all risks associated with exercise, walking, fitness activities, step tracking, health monitoring, and any activities related to the App.

You agree that Upper Edge Fitness Inc. shall not be responsible for any injury, loss, damage, illness, medical condition, or other harm arising from your use of the App.

4. Limitation of Liability

To the fullest extent permitted by law, Upper Edge Fitness Inc., its shareholders, directors, officers, employees, contractors, developers, affiliates, partners, licensors, successors, assigns, agents, representatives, and related parties shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising from:

• Use of or inability to use the App;

• Reliance on information provided through the App;

• Errors or inaccuracies within the App;

• Device malfunctions;

• Lost data;

• Interrupted service;

• Fitness activities performed by users;

• Rewards, redemptions, or promotional programs;

• Any third-party services or products.

Your sole remedy for dissatisfaction with the App is to discontinue use of the App.

5. Rewards Program

The App may offer virtual rewards, Edge Coins, gift card redemptions, donation opportunities, promotional rewards, or other incentive programs.

All rewards are offered solely at the Company’s discretion and may be modified, restricted, suspended, delayed, substituted, discontinued, or terminated at any time, with or without notice.

Edge Coins have no cash value, are not property, are not transferable, and do not constitute a bank account, investment, security, or stored-value account.

The Company reserves the right to alter redemption values, redemption requirements, reward availability, reward inventory, reward categories, payout schedules, and eligibility requirements at any time.

The Company may permanently discontinue the rewards program, gift card program, donation program, Edge Coin program, or any portion thereof without compensation.

Accumulated Edge Coins do not guarantee future redemption rights.

6. Fraud, Abuse, and Suspicious Activity

The Company reserves the right to investigate any account suspected of:

• Fraudulent activity;

• Exploitation of bugs or software errors;

• Unauthorized automation;

• Use of bots;

• Manipulation of step counts;

• Device spoofing;

• Hacking;

• Circumvention of App systems;

• Abuse of promotions;

• Any conduct deemed suspicious by the Company.

The Company may suspend, delay, deny, reverse, revoke, modify, or permanently cancel rewards, Edge Coins, redemptions, accounts, or payouts at its sole discretion.

The Company’s determination regarding suspicious activity shall be final.

7. Redemption Limits

Users are limited to one reward redemption per calendar month.

If multiple redemption requests are submitted during the same calendar month, the Company may reject, cancel, reverse, or postpone additional redemption requests.

In such circumstances, the Company may restore the corresponding Edge Coins to the user’s account.

8. Payout Schedule

Approved redemptions are generally processed according to the following schedule:

• Redemptions submitted on or before the 14th day of a calendar month may be processed on or around the 15th day of that month.

• Redemptions submitted from the 15th day through the final day of a calendar month may be processed on or around the final day of that month.

Processing dates are estimates only and are not guaranteed.

The Company reserves the right to delay, review, investigate, modify, or withhold payouts for any reason, including verification, fraud prevention, technical issues, financial limitations, compliance reviews, or operational requirements.

9. Account Suspension and Termination

The Company reserves the right to suspend, restrict, disable, or terminate any account at any time and for any reason, with or without notice.

Upon termination, rewards, Edge Coins, and redemption privileges may be forfeited.

10. No Warranty

The App is provided “AS IS” and “AS AVAILABLE.”

The Company makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, or non-infringement.

The Company does not guarantee uninterrupted operation of the App.

11. Indemnification

You agree to defend, indemnify, and hold harmless Upper Edge Fitness Inc., its shareholders, directors, officers, employees, contractors, developers, affiliates, partners, licensors, successors, assigns, agents, representatives, and related parties from any claims, liabilities, damages, losses, expenses, costs, or legal fees arising from:

• Your use of the App;

• Your violation of these Terms;

• Your misuse of rewards or Edge Coins;

• Your violation of applicable laws;

• Any activity conducted through your account.

12. Modifications to These Terms

The Company may update, modify, revise, replace, or remove portions of these Terms at any time.

Continued use of the App following any changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.
